Access Bank Completes $109.6 Million Acquisition of National Bank of Kenya

Access Bank confirmed the completion of its acquisition of National Bank of Kenya (NBK) on 30 May 2025, marking the successful close of a deal that deepens the Nigerian lender's footprint in East Africa. The transaction was disclosed at a value of $109.6 million in Access Bank's H1 2025 financial reporting, making it the bank's first major deal closing of the calendar year and a concrete milestone in its strategy to expand across the African continent through the acquisition of locally licensed banking institutions.

National Bank of Kenya was previously a wholly-owned subsidiary of KCB Group, one of the largest banking groups in East Africa by assets and a dominant institution in the Kenyan market. KCB's decision to divest NBK reflects portfolio management and strategic focus considerations within the group, whilst for Access Bank the transaction represents a carefully chosen entry point into the Kenyan market — providing immediate access to an established licensed bank with an existing branch network, client relationships, and operational infrastructure already in place.

STRENGTHENING ACCESS BANK'S EAST AFRICA POSITION

Kenya occupies a position of central strategic importance in Access Bank's continental expansion ambitions. As one of Africa's most sophisticated and active financial markets — with a deep capital market, a large and digitally engaged consumer banking population, strong regional trade flows, and a well-regarded regulatory framework overseen by the Central Bank of Kenya — the country offers significant commercial opportunity for a bank with the scale and ambition that Access Bank brings. The acquisition of NBK provides an immediately operational platform from which to pursue corporate, SME, and retail banking growth in the market.

Access Bank has been among the most acquisitive institutions in African banking over a period of several years, having completed transactions across multiple markets on the continent as part of a sustained effort to build a pan-African banking network. The NBK deal follows the bank's established approach of entering new markets or deepening existing positions through the acquisition of licensed local entities, a strategy that avoids the time and capital intensity of building a greenfield bank from scratch whilst delivering immediate regulatory standing, local market knowledge, and inherited customer relationships.

INTEGRATION AND EAST AFRICA GROWTH PROSPECTS

The $109.6 million deal value, as disclosed in Access Bank's H1 2025 financial reporting, represents a considered commitment for a transaction that delivers strategic optionality in one of Africa's key banking markets. NBK's prior ownership by KCB Group ensured that the acquired institution had benefited from institutional governance and risk management standards appropriate to a major banking group, providing a degree of operational quality assurance for the incoming owner as it begins its integration process.
