Nigeria's Zenith Bank has announced the acquisition of 100 per cent of the issued share capital of Paramount Bank Kenya, in a deal valued at over $7.7 million. First announced in November 2025, the transaction marks Zenith Bank's first entry into East Africa, extending the Nigerian lender's geographic reach beyond the West African markets where it has built its existing franchise and into one of the continent's most dynamic banking environments.
The full acquisition of Paramount Bank's entire issued share capital, rather than a minority or strategic stake, signals Zenith's intention to operate the Kenyan institution as a wholly owned subsidiary integrated within the group's broader structure. That ownership model gives the acquirer direct authority over Paramount Bank's balance sheet, management, strategy, and governance arrangements once the necessary regulatory approvals have been obtained in both Nigeria and Kenya.
REGULATORY APPROVALS REQUIRED IN TWO JURISDICTIONS
The transaction is subject to regulatory approvals in both Nigeria and Kenya, and those clearances represent the critical path to completion. In Nigeria, the Central Bank of Nigeria will need to assess the cross-border acquisition by one of the country's most prominent commercial banks and determine whether it is consistent with the acquirer's financial health and the stability of the Nigerian banking system. In Kenya, the Central Bank of Kenya will conduct its own independent review before granting permission for a foreign lender to assume ownership of a locally regulated bank.
Paramount Bank is a mid-tier commercial lender in Kenya, operating in a market characterised by a competitive mix of large domestic institutions, pan-African banking groups, and a number of smaller specialist lenders. Its existing licence, physical branch network, and established customer relationships provide Zenith with a ready-made entry point into the Kenyan market, avoiding the considerably longer and more uncertain process of applying for a greenfield banking licence and building a customer base from scratch.
EAST AFRICA OPENS A NEW GROWTH CORRIDOR
Kenya is the economic and financial hub of East Africa, home to one of the continent's most developed banking and capital market ecosystems, anchored by the M-Pesa mobile money platform, a sophisticated interbank market, and a growing base of regional corporate, infrastructure, and trade finance clients. For Zenith, a licensed presence in Nairobi provides access to transaction flows, corporate relationships, and retail banking revenues that are structurally distinct from the West African markets it currently serves, and the Kenyan banking environment's relative depth and liquidity makes it an attractive first step in a broader East African expansion strategy.
The acquisition also reflects a broader pattern of large Nigerian banks seeking geographic diversification as a means of accessing growth opportunities beyond a domestic market contending with its own macroeconomic pressures, including currency volatility and inflationary strains. Zenith's move into Kenya follows the East African and broader continental expansion strategies that other major Nigerian lenders have pursued in recent years, and it positions the bank to compete more effectively for the East African business of multinational and regional corporate clients with whom it already has established relationships in Lagos or Abuja. Once approved, the transaction will give Zenith a regulated platform from which to build incrementally across one of the continent's most promising banking growth markets.
