Access Bank Agrees to Acquire 80% Stake in Uganda's Finance Trust Bank

Access Bank announced on 18 January 2024 that it had agreed to acquire an 80% majority stake in Finance Trust Bank, a licensed commercial lender operating in Uganda, in a transaction that extends the Nigerian bank's growing presence across sub-Saharan Africa. The deal requires regulatory approval from the Bank of Uganda and the Central Bank of Nigeria before it can be completed, with the parties anticipating that the necessary clearances can be obtained and the transaction closed within the first half of 2024.

The acquisition gives Access Bank a controlling interest in Finance Trust Bank, while the remaining stake is retained by long-term investors who will continue to hold their positions in the institution. Institutional shareholders that had invested at an earlier stage of the bank's development are set to exit as part of the transaction, a common feature of ownership transitions at African financial institutions backed by development finance capital, as patient impact investors recycle proceeds into new opportunities once a business has reached a sufficient level of commercial maturity.

EAST AFRICA EXPANSION DRIVES STRATEGIC RATIONALE

For Access Bank, the Finance Trust Bank acquisition is consistent with a sustained strategy of extending its geographic footprint across Africa through targeted acquisitions in markets that offer strong demographic growth, rising financial services penetration rates, and regulatory environments conducive to responsible banking. Uganda's population is among the youngest and fastest-growing in the world, and the relatively low level of formal banking access across the country presents a sizeable long-term opportunity for an institution with the capital and technology capabilities of Access Bank to build a material and profitable retail and SME franchise over the coming decade.

Finance Trust Bank has an established operational presence in Uganda, with a network of branches and a customer base that includes segments of the population that larger international banks have historically served inadequately or not at all. Acquiring an institution with these existing relationships, regulatory licences, and on-the-ground infrastructure gives Access Bank an immediate and credible platform in the Ugandan market — avoiding the considerably longer and more costly process of establishing a greenfield banking presence from scratch, building a branch network, recruiting local management talent, and obtaining a full banking licence through the regulatory authorisation process.

The decision by institutional shareholders to exit via this transaction reflects the typical lifecycle of development finance investment in African financial institutions, where the goal is to build commercially viable, well-governed banks capable of sustaining themselves and attracting market-rate capital, then transfer ownership to strategic investors better positioned to support the next growth phase. Access Bank's track record of integrating acquired African banks into its wider network provides confidence that the institutional knowledge and customer relationships built at Finance Trust Bank will be preserved and extended rather than disrupted by the ownership change.

REGULATORY APPROVALS AND DEAL TIMELINE

The Bank of Uganda will assess the change of control from a financial stability and consumer protection perspective, examining the acquiring institution's financial strength, governance standards, and strategic plans before granting its approval. The Central Bank of Nigeria's review reflects its responsibility for overseeing the international activities of Nigerian-licensed banks, including ensuring that cross-border acquisitions do not introduce undue risk to the acquiring institution or to the Nigerian financial system more broadly. Both regulatory processes are standard requirements for transactions of this nature, and the parties have signalled confidence that they will proceed within the anticipated timeline.

Assuming approvals are obtained as expected and the transaction closes in the first half of 2024, Access Bank will add a Ugandan banking subsidiary to its established network of African operations. The integration process following closure will focus on aligning Finance Trust Bank's systems, risk management frameworks, product offerings, and governance structures with Access Bank group standards, while taking care to preserve the local customer relationships and community banking knowledge that represent the core of the acquired institution's value in the Ugandan market.
