BNY's Board of Directors has unanimously elected Robin Vince as Chairman of the Board, effective 1 September 2025, according to a press release issued on 12 June 2025. Vince will combine the Chairman role with his existing position as President and Chief Executive Officer, a post he has held since 31 August 2022.
Joe Echevarria, who has served as Chairman of BNY's Board, will transition to the role of Lead Independent Director upon Vince's assumption of the combined position in September. The Lead Independent Director role is designed to provide a check on executive authority in structures where the Chairman and CEO positions are held by the same person, preserving a degree of independent oversight within the board's governance framework.
VINCE'S TENURE
Vince, who joined BNY as a vice chair in 2020, became CEO in August 2022. The bank has more than $50 trillion in assets under custody and/or administration.
GOVERNANCE STRUCTURE AND BOARD TRANSITION
The Lead Independent Director typically chairs meetings of the independent directors, serves as a point of contact for shareholder governance concerns, and coordinates performance evaluations of the Chief Executive. The role carries formal responsibilities under BNY's corporate governance guidelines and applicable stock exchange rules.
BNY has not announced any changes to the broader composition of its Board of Directors alongside the leadership transition.
