Community West Bancshares has agreed to acquire United Security Bancshares California in an all-stock transaction valued at approximately USD 191.9 million, or USD 10.88 per United Security share, the two companies announced on 17 December 2025. The deal marks the seventh acquisition in Community West's history.
Under the terms of the agreement, United Security shareholders will receive 0.4520 Community West shares for each United Security share they hold.
COMBINED BANK
Upon completion, the combined entity is expected to hold approximately five billion dollars in total assets.
Community West has completed six prior acquisitions - most recently of Community West Bancshares itself, whose name it adopted on 1 April 2024.
DEAL TERMS AND NEXT STEPS
The transaction is structured entirely in stock, meaning no cash will change hands at closing.
Completion of the acquisition remains subject to approval from the shareholders of both companies as well as sign-off from the relevant banking regulators. The transaction is expected to close in the second quarter of 2026.
United Security Bancshares has operated as an independent community bank focused on the Central Valley market. Management indicated the combination would enhance the depth of products and services available to clients of both institutions.
