HSBC Continental Europe completed the sale of Internationale Kapitalanlagegesellschaft mbH, known as INKA, to BlackFin Capital Partners on 9 October. HSBC announced the closing on 12 October. The deal transferred full ownership of the Düsseldorf-based fund administrator to the private-equity manager. The parties did not disclose a purchase price.
INKA administered more than €470 billion of assets at 30 June 2026, according to company data cited by private banking magazin. That was above the roughly €430 billion disclosed when HSBC announced the agreement in July 2025. INKA’s assets administered for private-markets investments had risen by about 25% over the preceding three years. The business serves institutional investors as a licensed German asset-management company and fund-administration platform.
OWNERSHIP TRANSFER COMPLETED
BlackFin is now INKA’s sole shareholder. HSBC said at signing that all INKA employees would remain with the business when ownership transferred. Completion followed regulatory and antitrust approvals and negotiations with HSBC Germany’s works council, which were identified as conditions in the original agreement.
HSBC described BlackFin as a pan-European private-equity fund manager that has invested in Germany since 2013. The independent report said BlackFin manages more than €4 billion of commitments. BlackFin said its aim was to develop INKA as a leading platform for institutional investors across Europe.
INKA PREPARES NEXT GROWTH PHASE
INKA plans to extend its Luxembourg business in 2027 and to expand further in private-markets administration. Those plans place cross-border growth at the centre of the business’s first phase under BlackFin.
The closing converts a transaction first announced in July 2025 from an agreed divestment into a completed ownership change. Clients and staff can now watch how BlackFin executes the transfer while INKA pursues its disclosed growth plans. The next concrete milestone is the planned Luxembourg expansion in 2027; neither party has indicated when further operational or financial details will be released.
