Huntington Bancshares has announced an agreement to acquire Dallas-based Veritex Holdings in an all-stock transaction valued at approximately $1.9 billion, the Ohio-headquartered regional bank said on 14 July 2025. The deal, which carries a 23.5% premium to Veritex's most recent closing price, would expand Huntington's presence in the Texas market, where it has served customers since 2009 and already offered middle-market business banking in Dallas and Houston.

Under the terms of the agreement, Huntington will issue 1.95 of its own shares for each Veritex share, giving Veritex shareholders a stake in the enlarged group. The transaction is expected to close early in the fourth quarter of 2025, subject to regulatory and shareholder approvals, at which point Huntington would absorb Veritex's 31 branch locations across Texas.

VERITEX'S BALANCE SHEET As of 31 March 2025, Veritex reported approximately $13 billion in assets, $9 billion in loans and $11 billion in deposits.

SECOND-QUARTER RESULTS

Huntington's announcement also included preliminary second-quarter 2025 financial results, ahead of the full results it said it expected to report on 18 July.

The transaction was confirmed in a press release from Huntington's investor relations department.
