ICBC, Agricultural Bank of China (ABC) and PICC on the evening of 14 October simultaneously published replies to the Shanghai Stock Exchange's review inquiry letters. The replies covered administrative penalties, pending litigation and the use of proceeds. From 1 January 2023 to 30 June 2026 the three institutions disclosed 1,358 penalties in total, with ABC having the most.

All three explained their rectification and fine payments. They said the matters are not major violations that seriously harm investors' lawful rights or the public interest, and so pose no substantive legal obstacle to the issuance. The placements are part of the capital replenishment plan for central financial enterprises announced in September.

PENALTY COUNTS AND FINES BY INSTITUTION

ICBC reported 428 qualifying penalties, with fines of about 5.70 yi yuan, a yi being the Chinese unit of one hundred million. ABC reported 556 penalties and fines of about 4.70 yi yuan, while PICC reported 374 penalties and fines of about 1.46 yi yuan.

The banks' violations mainly concerned prudential rules, loan management, customer identification, payment and settlement, and foreign exchange business. PICC's penalties mainly concerned insurance operations, including giving policyholders benefits beyond the contract, using policy terms and rates that had not been approved, and fabricating business records to obtain fees.

PICC also disclosed a penalty ordering it to stop accepting new agricultural insurance business for one year.

PENDING LITIGATION AND PROVISIONS

At 30 June 2026, ICBC had 6 cases with principal above 1 yi yuan, totalling about 11.13 yi yuan, or about 0.026% of parent shareholders' equity. ABC had 3 such cases involving about 3.09 yi yuan, or about 0.0093% of parent equity. As of the date of its reply, ABC's cases were closed or in enforcement, and it had provisioned about 2.10 yi yuan.

PICC had 42 lawsuits with principal above 4000 wan yuan at the same date, a wan being ten thousand. Of these, 28 are first-instance cases without an effective judgment, involving about 14.36 yi yuan. Another 14 have no first-instance judgment or have had one set aside, and involve about 64.69 yi yuan.

PROCEEDS AND CAPITAL IMPACT

According to earlier announcements, the three plan to raise up to 1000 yi yuan, 1600 yi yuan and 150 yi yuan respectively, or up to 275 billion yuan in total. The figures are proposed maximum fundraising amounts. ICBC and ABC will use the proceeds to replenish core tier 1 capital, while PICC plans to use them to strengthen its capital base.

Everbright Securities estimated earlier, on a static basis, that the injection would raise the core tier 1 capital ratios of ICBC and ABC by 0.3 and 0.6 percentage points respectively. It said this would help them meet requirements for global systemically important banks. The Ministry of Finance is the subscriber in the placements, with a proposed 70 billion yuan going to ICBC.

APPROVALS STILL REQUIRED

With the inquiry stage complete, the placements still need approval from the Shanghai Stock Exchange's review and registration approval from the China Securities Regulatory Commission.

The September plan began a new round of capital replenishment for large state-owned financial institutions, with 8 central financial enterprises announcing 3600 yi yuan in total. The money comes from two sources: 3000 yi yuan raised by the Ministry of Finance through special treasury bonds and 600 yi yuan from China Tobacco and its subsidiaries.
