Tradeweb Markets agreed to acquire US bond-trading platform Trumid for about $1.97 billion. The price comprises $1.75 billion for the business and about $220 million for acquired tax assets. Tradeweb expects to pay roughly $1.89 billion in cash and $82 million in equity. The transaction is targeted to close in the first half of 2027, subject to regulatory approvals and other customary conditions.
Tradeweb and Trumid both operate electronic fixed-income trading platforms, with Trumid focused on US dollar-denominated corporate bonds. The acquisition is intended to extend Tradeweb's credit offering into new issuance and grey-market trading as well as secondary execution. Tradeweb said its platform facilitates more than $3 trillion of average daily trading volume across asset classes. Both companies' boards approved the agreement unanimously.
CASH FINANCING DOMINATES THE CONSIDERATION
Tradeweb plans to fund most of the cash payment from cash on hand, leaving a relatively small equity component. The final consideration remains subject to adjustments described in the agreement. The company expects the acquisition to add to adjusted earnings per share in the first full year after closing.
Trumid provides trading in investment-grade, high-yield, distressed and emerging-market bonds. Its technology adds capabilities earlier in the bond lifecycle, when securities are marketed and priced before full secondary trading develops. Combining those functions with Tradeweb's existing network could broaden the liquidity and data available to institutional clients.
REGULATORY REVIEW PRECEDES INTEGRATION
The agreement does not transfer control immediately. Regulators must approve the transaction, and the parties must satisfy the other closing conditions before integration begins. Tradeweb has not identified a more precise closing date within the first half of 2027.
The next milestones are regulatory filings, approvals and any updated financing disclosures. Investors will also assess whether the combined platform retains clients and delivers the expected earnings contribution after closing. Until those steps are completed, Trumid will continue operating as a separate business.
