Türkiye Wealth Fund signed share-transfer agreements covering Ziraat Katılım and Halk Katılım. The agreements would move the participation banks under TVF Katılım Finans Yatırımları, a wholly owned fund subsidiary. They were signed on 7 October and disclosed on 9 October. Completion remains subject to the required legal and regulatory processes.
The fund described the signing as the first completed stage of bringing state-owned participation-finance institutions under one structure. Bloomberg HT and Habertürk separately reported the disclosure and the intended year-end timetable. The parties did not publish transaction values in the accessible announcements.
A COMMON OWNERSHIP STRUCTURE
TVF Katılım Finans Yatırımları is intended to acquire the shares for consideration. The move would place the two banks beneath a specialist holding company that remains fully owned by Türkiye Wealth Fund. The agreements establish the proposed ownership route but do not themselves complete the transfers.
The fund said the wider objective was to strengthen the capacity and competitiveness of state-backed participation finance. It also cited growth of the sector's place in Türkiye's financial markets. Those are policy aims, rather than measured results of the signed transactions.
APPROVALS PRECEDE COMPLETION
The parties plan to complete the share transfers by the end of 2026 after the necessary processes. The announcements did not identify each approval, publish a detailed integration plan or say whether the banks would retain separate brands. They also did not describe changes to management, products or branch networks.
The next concrete milestone will be regulatory clearance and legal completion of the transfers. Subsequent disclosures should show whether common ownership leads to operational integration or remains a holding-company reorganisation of two separately run participation banks.
