UniCredit has sought European Union antitrust approval for its proposed takeover of Commerzbank. The European Commission set 16 November as the deadline for its preliminary decision, Reuters reported from a Commission filing. The application advances the proposed combination into a formal competition review.
UniCredit has already secured nearly half of Commerzbank’s share capital, according to Reuters. The German government holds 13.3% of the German lender. Commerzbank says any transfer of shares under UniCredit’s offer remains subject to the necessary regulatory approvals.
COMMISSION OPENS PRELIMINARY REVIEW
During the initial review, the Commission can clear the transaction unconditionally, approve it subject to concessions or open an in-depth investigation if it identifies serious competition concerns.
The antitrust process is distinct from other approvals and political considerations surrounding the cross-border transaction. The filing therefore marks a new deal milestone without determining the takeover’s final outcome.
NOVEMBER DECISION POINT
The proposed takeover remains one of Europe’s most closely watched cross-border banking combinations. Its review comes as European policymakers continue to debate whether consolidation can strengthen the region’s lenders.
The next concrete milestone is the Commission’s preliminary decision by 16 November. Regulators may clear the deal, require remedies or move to a fuller investigation, while the transaction remains conditional on the other approvals that apply.
