VersaBank has received approval from the Federal Reserve Bank of Minneapolis, acting under authority delegated by the Federal Reserve Board, for its plan to realign its corporate structure to a standard U.S. bank framework. Under the plan, Versa Bancorp, a new Delaware corporation, will become the direct holding company of the bank. The bank announced the approval on 27 October 2026.

The bank said the Federal Reserve approval is the final regulatory approval it needs to complete the reorganisation. Completion is subject to a minimum 15-calendar day waiting period required by the Federal Reserve, and VersaBank is targeting 13 November 2026.

STRUCTURE AND APPROVALS

The reorganisation moves VersaBank to what it describes as a standard U.S. bank framework. Versa Bancorp, incorporated in Delaware, will sit directly above the bank as its holding company.

The reorganisation agreement between Versa Bancorp and VersaBank is dated 24 August 2026. It describes VersaBank as a Schedule I chartered bank subject to the Bank Act (Canada), and it defines the Bank Act Approvals needed for the transaction as including approvals from the Minister and from the Superintendent.

GROWTH AND SHAREHOLDER VALUE AIMS

VersaBank said the reorganisation is expected to support growth opportunities in its Structured Receivable Program and its Digital Asset/Tokenized Deposit strategy. It also expects the move to enhance shareholder value through greater visibility and liquidity for its stock, including eligibility for inclusion in certain stock indices.

The bank also cited improved access to capital markets, further risk mitigation and greater cost efficiencies. Its common shares trade on the Toronto Stock Exchange and NASDAQ under the symbol VBNK.

David Taylor, Founder and President of VersaBank, said: "With the Federal Reserve’s approval, we can move quickly toward completion of this transformational initiative that will enable our unique, cloud-based, business-to-business digital bank to realize its full potential — in the United States, in Canada and beyond."

THE BUSINESS BEHIND THE STRUCTURE

VersaBank is federally chartered in both Canada and the United States and runs a branchless, digital, business-to-business model built on proprietary technology. It obtains substantially all its deposits, and undertakes the majority of its funding activities, electronically through financial intermediary partners, which the bank says gives it significant operating leverage.

In August 2024 the bank launched its Structured Receivable Program in the U.S. market. The funding solution for point-of-sale finance companies has been used in Canada for more than 15 years.

VersaBank also owns Minnesota-based DRT Cyber Inc., a cybersecurity services provider. Through DRT Cyber, it owns the proprietary technology and intellectual property behind Real Bank Tokenized Deposits. It is also using its VersaVault technology to expand regulated custody services for digital assets in Canada and the United States. VersaBank describes QCAD as Canada's first regulatory compliant Canadian-dollar stablecoin.
