Vietnam’s HDBank fixed 12 October as the record date for a stock distribution totalling 30% to existing shareholders. The bank plans a 25% stock dividend and a 5% bonus share issue. Together, the two components will add about 1.50 billion ordinary shares. Paid-up capital is expected to rise from roughly VND50.05 trillion to VND65.07 trillion after completion.
The State Securities Commission confirmed the bank’s issuance report documents on 29 September. HDBank then issued notices on 30 September setting the shareholder record date and detailing the distribution. The plan follows shareholder and board resolutions adopted in August and central-bank approval dated 21 September. It therefore moves an earlier capital proposal into its execution phase.
TWO COMPONENTS DRAW ON EXISTING EQUITY
HDBank will issue about 1.25 billion shares for the dividend, giving investors 25 new shares for every 100 held. The dividend shares will be funded from accumulated audited post-tax profit for 2025 after required allocations. The bank will issue a further 250.3 million bonus shares from its supplementary charter-capital reserve.
The two issues do not raise cash from shareholders because they convert existing equity accounts into paid-up capital. Fractional entitlements will not be rounded up, and any residual shares will be allocated to HDBank’s trade union under the announced plan. Shareholders will receive 30 new shares for each 100 owned before the record date, subject to the stated treatment of fractions.
CAPITAL BASE EXPANDS BEFORE PRIVATE PLACEMENT
The larger paid-up capital gives HDBank additional balance-sheet capacity for medium- and long-term lending and working capital. The bank separately plans a private placement of as many as 700 million shares to professional investors during 2026-2027. That transaction is distinct from the 30% distribution and would involve new cash proceeds.
The immediate milestone is the 12 October record date, followed by the actual share issuance and registration of higher capital. Investors will then watch the timetable and pricing for the proposed private placement. Completion of all planned issues would take HDBank’s capital beyond the level created by the dividend and bonus shares alone.
