Wintrust Financial Corporation has completed its merger with Macatawa Bank Corporation in a transaction valued at approximately $510.3 million, equivalent to $14.85 per share of Macatawa stock. The Illinois-based financial holding company announced the closing in a statement published on GlobeNewswire on 1 August 2024, bringing to a formal conclusion an acquisition that extends Wintrust's community banking footprint into Michigan and deepens its overall position among the Midwest's prominent regional banking groups. The deal also advances the group's long-standing strategy of building scale through the targeted acquisition of well-run community banks.

With the acquisition finalised, Wintrust now operates sixteen community bank subsidiaries with a combined network of over 200 banking locations. The addition of Macatawa Bank, which is headquartered in western Michigan and has long-established relationships with retail customers and commercial clients in that market, represents a meaningful geographic expansion for Wintrust beyond its core Illinois base. The transaction reflects the group's consistent strategy of growing through selective acquisitions of community banks that share its customer-focused operating philosophy and conservative risk culture.

MACATAWA RETAINS SEPARATE CHARTER AND BRAND

One of the distinctive features of the Wintrust acquisition model is its commitment to preserving the local identity and operational independence of acquired institutions within the group's holding company structure. In line with that approach, Macatawa Bank will retain its name and continue to operate as a separately chartered bank regulated under Michigan banking law following the merger. This means Macatawa will maintain its own board of directors, local management team, and community identity rather than being absorbed into one of Wintrust's existing subsidiary banks.
