Erste & Steiermärkische Bank, operating as Erste Bank Croatia, has issued the country's first-ever green preferred senior bond — a EUR 400 million international placement listed on the Vienna Stock Exchange on 22 January 2024. The transaction represents a landmark in Croatia's sustainable debt capital markets, establishing a new category of green instrument in a jurisdiction where such issuance by a domestic bank had not previously been achieved, and demonstrating that the market for sustainable senior bank debt extends into Central and Eastern Europe beyond the established Western European hubs.
The bond was placed with international investors and structured under Erste Group's Sustainable Finance Framework, which governs the eligibility criteria for assets that may be financed by the proceeds. The use of a group-level framework provides investors with the assurance of a well-developed, independently reviewed governance structure, rather than requiring Erste Bank Croatia to establish its own standalone framework — an approach that helps smaller or newer sustainable issuers access the market more efficiently.
EBRD ANCHORS THE TRANSACTION
The European Bank for Reconstruction and Development invested EUR 35 million in the transaction, providing an anchor commitment that lent institutional credibility to the issuance. The EBRD's participation in green bond transactions by regional banks is a consistent feature of the development bank's strategy to catalyse private capital flows towards sustainable projects in Central, Eastern, and South-Eastern Europe, where the green bond market is less developed than in Western European markets and anchor investors can play a meaningful role in facilitating execution.
The EBRD's involvement signals confidence in both the credit quality of the issuer and the integrity of the sustainable finance framework under which proceeds will be deployed. For Erste Bank Croatia, the development bank's anchor commitment provides an important endorsement in a market where investors may be less familiar with the Croatian banking sector than with more established issuers in Germany, France, or the Nordic countries, and where an authoritative institutional investor's participation can materially influence the reception of a debut transaction.
PROCEEDS TARGET ELIGIBLE GREEN PROJECTS
Proceeds from the EUR 400 million bond will be allocated to eligible green projects as defined under Erste Group's Sustainable Finance Framework, covering categories such as renewable energy, energy efficiency, and sustainable land use, among others. The framework aligns with recognised international standards and specifies the types of assets that qualify, providing investors with a clear basis for evaluating the environmental relevance of their investment and enabling ongoing reporting on the actual allocation and impact of the funds raised.
Erste Bank Croatia is a subsidiary of Erste Group, one of Central Europe's largest banking networks by assets and customers served across its regional footprint. Its access to the group's sustainable finance infrastructure — including the established framework, existing investor relationships, and the Erste Group name recognition in international capital markets — has allowed the Croatian entity to bring an instrument to market that would be considerably more challenging for a standalone domestic institution to structure and price competitively.
