ING Groep shareholders approved the appointment of Andrea Cesaroni to the Executive Board as Chief Risk Officer at an Extraordinary General Meeting held in Amsterdam on 31 July 2026. The appointment took effect at the end of the meeting, the Dutch lender said.

Following the EGM the Executive Board comprises chief executive Steven van Rijswijk, chief financial officer Ida Lerner and Cesaroni as chief risk officer. The formal shareholder vote confirmed Cesaroni, who has been acting head of Risk since February 2026, into the role on a permanent basis.

EXECUTIVE BOARD LINE-UP CONFIRMED

The completion of Cesaroni's appointment fills the CRO seat on the Executive Board and restores the top team to its full complement. His confirmation follows a period in which he had been running the Risk function on an acting basis since February 2026, and he has been part of ING's senior risk leadership since being named head of Integrated Risk in 2022.

For chief executive Steven van Rijswijk and chief financial officer Ida Lerner, the permanent appointment of a CRO brings stability at the top of the group's risk-management structure. Under Dutch banking governance the CRO plays a central role in the oversight of credit, market, operational and non-financial risks, and Executive Board membership underlines the seniority attached to the function.

The vote at the EGM concludes the formal governance steps required to confirm Cesaroni in the role. Between his February appointment as acting head of Risk and Friday's approval, he has continued to lead the risk function through a period in which European banks have remained under close supervisory scrutiny on both prudential and non-financial risks.

INTERNAL PROMOTION AFTER ACTING SPELL

Cesaroni's elevation reflects ING's approach of promoting from within its senior risk ranks, having previously served as head of Integrated Risk from 2022 and as acting head of Risk since earlier this year. That trajectory gave him direct exposure to the operational and governance requirements of the CRO seat before shareholders were asked to endorse the appointment.

The EGM resolutions marked the formal shareholder step required under the Netherlands' two-tier board framework to confirm Cesaroni as a member of the Executive Board. ING published the results of the meeting through its website, alongside the composition of the newly configured board.

As chief risk officer, Cesaroni will be responsible for the risk framework that supports the group's lending, market activities and international operations, and for engaging with the European Central Bank and the Dutch central bank on prudential matters. His role will also cover non-financial risks such as compliance and operational resilience, areas that have become an increasingly prominent focus for European supervisors.

Cesaroni's appointment also matters for the composition of the Executive Board's collective decision-making. Alongside chief executive Steven van Rijswijk and chief financial officer Ida Lerner, the CRO forms part of the small group of statutory directors responsible for the strategic and operational management of ING Groep, and shareholder confirmation of that appointment removes any residual uncertainty about the composition of the top team going into the second half of 2026.

ING is one of the largest lenders in the Benelux region and operates internationally across retail and wholesale banking, meaning the CRO role sits at the centre of a complex risk profile spanning multiple jurisdictions and business lines.
