The Reserve Bank of India (RBI) has approved the reappointment of N. S. Vishwanathan as Non-Executive Chairman of Axis Bank for a further three-year term, running from 27 October 2026 to 26 October 2029, Axis Bank has confirmed. The approval was communicated to the private-sector lender via an RBI letter dated 7 July 2026, providing the regulatory foundation for continuity in the bank's boardroom leadership.

The extension is subject to shareholder reappointment of Vishwanathan as an Independent Director at the bank's annual general meeting scheduled for 31 July 2026. His current chairmanship dates from 27 October 2023, meaning that the new term will provide continuity at the top of the board through to late 2029 if shareholders vote in favour of the resolution put forward by the board.

RBI APPROVAL AND AGM STEP

Under the Banking Regulation Act, the appointment of chairs of Indian private-sector banks requires the prior approval of the Reserve Bank of India. The letter of 7 July 2026 confirms that the regulator is satisfied with Vishwanathan's fitness and propriety for a further three years and clears the way for the AGM vote, an important procedural marker that removes regulatory uncertainty ahead of the shareholder meeting.

The 31 July 2026 shareholder meeting will need to reappoint Vishwanathan as an Independent Director in order for the RBI-approved chairmanship to take effect. Aligning the reappointment with the AGM timetable is standard practice for Indian listed banks and ensures that governance approvals are secured before the current term expires in late October, avoiding any interregnum in board leadership.

By setting the new term at three years, the Axis Bank board and the RBI have chosen the maximum length typically permitted for such reappointments, signalling confidence in the continuing leadership of the board and providing a stable governance backdrop over which the bank's executive management can plan and execute strategy.

Vishwanathan has served as Axis Bank's chairman since 27 October 2023, providing board leadership over a period of significant strategic execution at India's third-largest private-sector lender. He brings extensive supervisory experience from his previous role as Deputy Governor of the Reserve Bank of India from 2016 to 2020, giving the bank's board direct familiarity with the mindset and priorities of its principal regulator.

His RBI background covered oversight of banking regulation and supervision during a period of substantial regulatory reform, giving him first-hand experience of the frameworks that now govern the sector he oversees at Axis Bank. That combination of central bank experience and current board tenure is often cited as a factor in his re-nomination, particularly in a sector where regulator relationships and prudential judgement have become increasingly central to boardroom debate.

Subject to shareholder approval at the July AGM, Axis Bank will retain the same non-executive chairman through the second half of 2026 and beyond, providing continuity as the bank navigates the wider Indian banking cycle. The company said in its filing that formal notice of the resolutions to be put to shareholders would be issued in the ordinary course ahead of the AGM.
