TGB Weekly Research Note · 17 August 2026
HSBC accepted senior notes for $4.9bn in a tender funded by longer-dated issuance, weeks after UK authorities set out how more of the capital stack could be released in stress.
The desk view
HSBC Holdings accepted notes for a total consideration of about $4.9bn in tender offers that expired on 12 August 2026. The notes settle on 17 August 2026 and will be cancelled. The notes were senior unsecured, due 2028 with par redemption dates in 2027, and were refinanced with notes due 2032 and 2037. The recycling is therefore in senior funding rather than regulatory capital; on the capital side, the group has resumed a buy-back of up to $1bn with a CET1 ratio of 14.1%. The backdrop is a Bank of England goal, set out on 7 July 2026, of a single buffer that is releasable in stress.
A tender funded by longer-dated paper
HSBC launched four cash offers on 5 August 2026 against $8.6bn of outstanding notes, to proactively manage its debt portfolio. They were conditional on a new senior issue, priced the same day: $2.5bn of 5.243% notes due 2032, $3.25bn of 5.729% notes due 2037 and $1bn of floating rate notes due 2032. The new issue totalled $6.75bn, matching the upsized maximum tender amount.
Holders tendered about $1.46bn of the May 2028 Notes, and HSBC accepted $1.00bn at a proration factor of about 67% after lifting that sub-cap from $750m. The other three series were accepted in full. Principal accepted came to about 57% of the amount outstanding.
