VPBank completed a stock-dividend issuance that raised its charter capital to VND100 trillion. The Vietnamese lender distributed about 2.067 billion shares and increased its total outstanding shares to 10 billion. Charter capital rose from VND79.339 trillion after the first phase of its 2026 capital plan. The bank disclosed the issuance results on 30 September, and current Vietnamese reports followed a 5 October securities-regulator acknowledgement.

The shares were distributed at a ratio of 26.04104% to 86,299 shareholders, according to Thoi Bao Tai Chinh Vietnam. The nominal capital increase exceeded VND20.660 trillion and came from retained after-tax profit. The issuance ended on 25 September, while transfer of the new shares is expected during October or November. A small allocation of fractional shares went to VPBank's head-office trade union under the approved plan.

DIVIDEND SHARES COMPLETED THE FIRST PHASE

The State Securities Commission said it had received VPBank's results documentation and directed the bank to complete additional listing and registration procedures, the Vietnamese finance ministry outlet reported. VietnamPlus and CafeF separately reported the completed distribution and the new VND100 trillion capital level. VPBank's published shareholder plan and issuance notice establish the authorised ratio and target.

The completed stock dividend is distinct from a separate private placement that remains prospective. VPBank plans to offer more than 624 million shares to a foreign investor, equivalent to over 5% of charter capital. If completed, that second phase would add more than VND6.243 trillion and lift charter capital above VND106 trillion, but no binding placement has been announced.

CAPITAL EXPANSION SUPPORTS LENDING CAPACITY

The completed issuance increases VPBank's nominal equity base without bringing in cash from external investors because it capitalises retained profit. It can nevertheless expand regulatory lending headroom and support balance-sheet growth, subject to capital-adequacy requirements. The change also places VPBank among Vietnamese lenders with charter capital of at least VND100 trillion.

The next milestones are registration and additional listing of the dividend shares, followed by any formal private-placement agreement. Investors will watch the pricing, buyer identity and regulatory approvals for that second phase. Until those disclosures appear, only the stock-dividend increase should be treated as completed.
